PictoWave Commercial Terms

1. Purpose and contractual structure

These PictoWave Commercial Terms (the "Terms") describe the commercial terms applicable to the PictoWave software, in its "PictoWave" and "PictoWave Pro" editions (the "Software"), available on www.pictowave.com (the "Site"). The Software is published by Clément Maurin, individual entrepreneur (EI), trading under the business name Wav.farm, SIREN 107 740 961, RCS Caen, SIRET 107 740 961 00019, 2 Avenue du 6 Juin, 14114 Ver-sur-Mer, France (the "Publisher"). "Customer" means the person who acquires the Software and "User" means any authorized person who installs or uses it.

A "major version" of the Software is one whose first version number differs from that of the version already purchased (for example, moving from 1.x to 2.x). Bug fixes and maintenance, security or feature updates released without changing that first number (each, an "update") remain within the same major version.

The purchase transaction is entered into with Sold through Link, LLC f/k/a Lemon Squeezy LLC ("Lemon Squeezy"), which acts as an authorized reseller and Merchant of Record. The Customer therefore purchases the product from Lemon Squeezy, and not from the Publisher. Lemon Squeezy handles, in particular, the checkout process, collection of payment, applicable taxes, order confirmation, the receipt or invoice, the financial processing of refunds and payment disputes, in accordance with its buyer terms (the "Buyer Terms").

Lemon Squeezy is not the publisher or licensor of PictoWave. The license to use the Software is granted directly by the Publisher to the User under the End-User License Agreement ("EULA"), which is presented and accepted during installation. These Terms describe the features of the offer and the Publisher's own commitments; they should be read together with the Buyer Terms for the purchase transaction and with the EULA for the license and use of the Software, without replacing either document.

2. Offers, trial and licenses

Upgrade to PictoWave Pro: available to holders of an eligible PictoWave license. When the upgrade is purchased, the PictoWave license used to establish eligibility is retired and can no longer be used; it is replaced by the PictoWave Pro license. This retirement is distinct from releasing a machine as described in article 8.

The Software includes a macOS application and an AAX-format plug-in designed to work with Pro Tools. Licenses are purchased for a one-time payment, with no subscription, and are granted by the Publisher under the EULA. Supported macOS and Pro Tools versions, any hardware requirements, the requirement for an Internet connection for activation, and the main technical restrictions are stated on the Site and should be reviewed before purchase.

⚠The Software requires Avid Pro Tools 2025.06 or later, in its Studio or Ultimate edition, running on macOS 13 or later (Apple Silicon or Intel). Pro Tools Artist and Pro Tools Intro are not supported and cannot run the Software.

These requirements are an essential characteristic of the Software: it drives Pro Tools through its scripting interface and uses commands introduced in version 2025.06, and it is supported on the Studio and Ultimate editions only. Outside the environment described above, the Software is not warranted to operate, whatever the Customer's hardware.

A free, fully featured 14-day trial is available on the Site with no payment and no credit card. It allows the Software to be evaluated before purchase and does not reduce or remove any statutory rights available to a Customer acting as a consumer.

3. Prices, currencies and taxes

The Site displays prices in euros by default, inclusive of all applicable taxes: PictoWave €64.99, PictoWave Pro €169.99 and the upgrade to PictoWave Pro €105. These euro prices are fixed. For purchases made in euros, Lemon Squeezy determines, based on the billing information and applicable tax rules, the amount excluding tax and the taxes included in the displayed price.

The Customer may choose to pay in U.S. dollars using the currency selector available on the Site. The reference prices in this currency are: PictoWave USD 59.99, PictoWave Pro USD 159.99 and the upgrade to PictoWave Pro USD 100, exclusive of any applicable taxes. Lemon Squeezy calculates and adds any applicable taxes before the order is confirmed. The currency is selected by the Customer and does not result from automatic location detection. Choosing a different payment currency does not deprive a Customer acting as a consumer of any price information that must be provided under applicable law. In all cases, the total amount actually payable is displayed in the Lemon Squeezy checkout before payment is confirmed. Prices may be changed for future orders; the applicable price is the price presented to the Customer before confirmation. Any promotions and discounts do not give rise to retroactive adjustments, subject to applicable mandatory rights.

The upgrade to PictoWave Pro is issued in the currency of the original PictoWave purchase and can only be used in the store corresponding to that currency.

4. Ordering and payment

The order is initiated from the Site. Depending on the currency selected by the Customer, the Customer is directed to the corresponding Lemon Squeezy checkout. The transaction is completed through Lemon Squeezy's secure checkout. Payment is due in full when the order is placed, using the payment methods offered by Lemon Squeezy. Once payment has been confirmed, Lemon Squeezy sends the Customer a confirmation email containing information relating to the transaction and the license; a receipt or invoice can be obtained using the tools made available by Lemon Squeezy. Questions relating to payment, a receipt, an invoice, a refund or a payment dispute should be directed in the first instance to Lemon Squeezy support.

5. Provision and activation

The Software is supplied exclusively in digital form. Once payment has been confirmed, the Lemon Squeezy confirmation email contains the license key and information enabling access to the Software; the key also remains available in Lemon Squeezy's "My Orders" area. The User downloads the Software from the Site, reviews and accepts the EULA during installation, and then activates the Software by entering the key. Activation requires an Internet connection and is limited to the number of activations applicable to the relevant offer. If the User encounters any issue relating to the download, the key or activation, the User may contact the Publisher at the address set out in article 13.

6. Right of withdrawal and refunds

6.1 Customers not acting as consumers

Where the Customer acquires the Software for purposes relating to the Customer's trade, business, craft or profession and is not acting as a consumer, these Terms do not grant the Customer any contractual right of withdrawal, cooling-off period, right to cancel for convenience or right to a refund.

Unless otherwise required by mandatory law or expressly provided under Lemon Squeezy's Buyer Terms, the purchase transaction is final once payment has been confirmed. A change of mind or failure to make use of the free trial does not give the Customer any right to cancel the transaction or obtain a refund.

6.2 Customers acting as consumers

Where the Customer acts as a consumer, the Customer benefits only from such rights of withdrawal as are granted by the mandatory provisions of the applicable law.

Where French law applies, the right of withdrawal in respect of digital content not supplied on a tangible medium may no longer be exercised once performance has begun before the expiry of the withdrawal period, provided that all of the conditions set out in Article L. 221-28, 13° of the French Consumer Code have been validly satisfied, namely:

  • the consumer has given prior express consent for performance to begin before the expiry of the withdrawal period;
  • the consumer has acknowledged that the consumer will thereby lose the right of withdrawal; and
  • confirmation of that agreement has been provided in accordance with Article L. 221-13 of the French Consumer Code.

Where those conditions are validly satisfied through the Lemon Squeezy purchase flow and confirmation process, a Customer acting as a consumer may no longer exercise the right of withdrawal once the supply of the digital content has begun.

If those conditions are not satisfied, or if any other mandatory provision grants the Customer a right of withdrawal, nothing in these Terms is intended to exclude or restrict that right.

6.3 Refunds

As the purchase transaction is entered into with Lemon Squeezy in its capacity as seller and Merchant of Record, any request relating to withdrawal, cancellation or a refund in respect of that transaction should in the first instance be submitted to Lemon Squeezy in accordance with its Buyer Terms and purchase process.

Except where a refund is required by applicable mandatory law or expressly provided for under Lemon Squeezy's Buyer Terms, neither the Publisher nor these Terms grant the Customer any separate contractual right to a refund.

The availability of the free 14-day trial allows the Customer to evaluate the Software before purchase but does not create, extend or replace any statutory right of withdrawal or refund.

7. Statutory consumer rights and conformity

Where a Customer acts as a consumer, the Customer benefits from the mandatory warranties and remedies applicable to digital content. Where French law applies, these rights include, in particular, the statutory guarantee of conformity provided for in Articles L. 224-25-12 et seq. of the French Consumer Code. Neither these Terms nor the EULA may exclude or limit the mandatory rights available to the consumer.

To facilitate the handling of requests, the Customer may contact Lemon Squeezy for matters relating to the purchase transaction, including the price, a refund or cancellation of the transaction, and the Publisher for matters relating to the operation of the Software, activation, technical support, fixes and updates. This practical allocation of points of contact does not limit any mandatory right or remedy available to the Customer under applicable law.

8. Terms of use of the license

Use of the Software is governed by the EULA accepted during installation. The points below are only a summary; in the event of any inconsistency concerning the license or use of the Software, the EULA prevails, subject to applicable mandatory rights:

  • The license is non-exclusive and perpetual for the major version purchased and permits activation of the Software on one Mac at a time, unless otherwise stated for the relevant offer
  • The User may release the Software on one machine in order to activate it on another, within the limits set out in the EULA; release of a machine is distinct from the permanent retirement of a PictoWave license following an upgrade to PictoWave Pro
  • Unauthorized resale, sharing, making available or distribution of the license key or the Software is prohibited
  • Any suspension or revocation of a license for fraud, misuse or breach of the EULA takes place only under the conditions set out in the EULA and subject to applicable mandatory rights

9. Updates, major versions and support

The license is perpetual for the major version of the Software purchased. The Publisher may release bug fixes, maintenance, security or feature updates within that same major version; when released, those updates are provided at no additional charge. A new major version may constitute a separate product and may be offered separately or as a paid upgrade. Unless otherwise required by law, purchasing a new major version is not required in order to continue using the major version already purchased for as long as it remains technically usable. The term "perpetual license" means that the right to use the major version purchased is not limited in time; it does not constitute a guarantee of perpetual compatibility with future versions of macOS, Pro Tools, AAX or other third-party components. These principles are without prejudice to any legal obligation to provide and inform the User of updates necessary to maintain the conformity of the Software, including where Article L. 224-25-25 of the French Consumer Code applies. The Publisher provides technical support by email under the conditions set out in the EULA.

Certain features rely on online services operated by the Publisher: remotely releasing a seat that is already in use, issuing the discount code for the upgrade to PictoWave Pro, counting the trial period and automatically checking for updates. These services are ancillary to the Software: once the license is activated the Software runs without them, and releasing a machine locally, from that same machine, is sent directly to Lemon Squeezy, without going through the Publisher's infrastructure.

The Publisher does not undertake to maintain these ancillary services indefinitely. It undertakes to maintain them for a reasonable period having regard to the nature of the Software and the User's legitimate expectations, and to inform Users by appropriate means before any permanent discontinuation. Where a service due to be discontinued conditions the exercise of a right of the User, in particular transferring a license from one machine to another, the Publisher shall make an alternative means available, if necessary on request to support.

These provisions apply without prejudice to the statutory guarantee of conformity applicable to digital content and services and to any other mandatory rights available to a Customer acting as a consumer.

10. Liability and third-party products

PictoWave is a software tool intended in particular for professionals working with sound for picture. The User remains responsible for checking the technical requirements communicated on the Site and, when using the Software in a professional context, for the User's professional decisions and checks. To the extent permitted by law, the Publisher is not responsible for malfunctions or damage resulting exclusively from use contrary to the EULA or documentation, an unauthorized modification of the Software, or a hardware or software environment that is unsupported or outside the Publisher's control. Any limitations of liability set out in the EULA apply only to the extent permitted by law and without prejudice to warranties and liabilities that cannot legally be excluded or limited.

"Avid", "Pro Tools" and "AAX" are trademarks or other distinctive signs of Avid Technology, Inc. PictoWave is an independent third-party product designed to be compatible with the AAX format; it is not developed, published, distributed, warranted, approved or sponsored by Avid Technology, Inc.

11. Personal data

Personal data processed by Lemon Squeezy in connection with the purchase transaction is processed in accordance with the privacy information it provides. The Publisher, for its part, processes the data it receives or collects in connection with the Site, license management, activation, the trial period, update checks, diagnostics and support, in accordance with the PictoWave Privacy Policy. The Publisher does not collect or store the Customer's payment card data, which is processed through Lemon Squeezy's payment system and its service providers.

12. Governing law, mediation and disputes

The Publisher's commitments described in these Terms and the license relationship governed by the EULA are governed by French law, without prejudice to any more protective mandatory provisions that a consumer cannot be deprived of under the law applicable to the consumer's situation. The purchase transaction entered into with Lemon Squeezy remains subject to the Buyer Terms and to the mandatory rules applicable to the Customer.

Where a consumer dispute arises directly between a Customer acting as a consumer and the Publisher, the Customer must first send a written complaint to the Publisher. If the dispute is not resolved amicably, the Customer may refer it, free of charge, to the consumer mediator appointed by the Publisher:

If the dispute is not resolved amicably or through mediation, any dispute with the Publisher shall be brought before the courts having jurisdiction under applicable law. A Customer acting as a consumer retains the benefit of any mandatory jurisdiction rules applicable to the Customer.

This English version is provided for convenience. In the event of any discrepancy, the French version prevails.
